1. Acceptance of Terms

By accessing or using VerbaLift ("Service", "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

VerbaLift is a content decay scan and refresh platform for publishers that provides:

  • Content decay analysis and scanning
  • AI-powered content refresh suggestions
  • Automated publishing workflows
  • Performance analytics and reporting
  • Multi-platform content management
  • WordPress and CMS integrations

3. User Accounts and Registration

3.1 Account Creation

  • You must provide accurate, complete information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized use of your account

3.2 Eligibility

  • You must be at least 18 years old to use this service
  • You must have the legal capacity to enter into binding agreements
  • Business accounts must be authorized to bind the organization

4. Subscription Plans and Billing

4.1 Subscription Plans

VerbaLift operates on a subscription-based model with the following plans:

  • Starter: $29/month - Basic content scanning and refresh features
  • Professional: $79/month - Advanced analytics and automation
  • Enterprise: Custom pricing - Full platform access with dedicated support

4.2 Billing Terms

  • Subscription fees are billed monthly or annually in advance via Paddle, our merchant of record
  • All fees are non-refundable except as expressly stated in Section 5
  • We reserve the right to change pricing with 30 days notice
  • Payment is due at the beginning of each billing cycle
  • Paddle may collect billing information and conduct verification checks as needed to comply with tax and anti-fraud regulations.

5. Refunds and Cancellations

5.1 Refund Eligibility

  • Full refund available within 14 days of initial subscription
  • Partial refund for service outages exceeding 24 consecutive hours
  • Pro-rated refunds for mid-cycle plan changes

5.2 Refund Process

  • Contact support within the eligible timeframe
  • Refunds processed within 5-10 business days
  • Refunds issued to original payment method

5.3 Cancellations

  • Access continues until end of current billing period
  • No refund for remaining days in current cycle
  • Can reactivate anytime before period ends

6. Acceptable Use Policy

6.1 Permitted Uses

You may use VerbaLift for lawful business purposes including:

  • Scanning and analyzing your published content
  • Refreshing outdated content with AI suggestions
  • Automating content publishing workflows
  • Generating performance reports and analytics

6.2 Prohibited Uses

You may not use VerbaLift to:

  • Create misleading, fraudulent, or deceptive content
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Generate spam or unsolicited communications
  • Attempt to reverse engineer or hack the platform
  • Resell or redistribute our services without permission

7. Content and Data Responsibility

  • You retain ownership of all content you upload or create
  • You are responsible for ensuring you have rights to all content you upload
  • AI-generated suggestions are provided as recommendations only
  • You are solely responsible for final content decisions and publishing

8. Intellectual Property Rights

8.1 Your Content

  • You retain ownership of content you input into the platform
  • You grant us a license to process your content to provide our services
  • You are responsible for ensuring you have rights to all content you upload

8.2 Platform Rights

  • VerbaLift platform, features, and technology remain our property
  • These Terms do not grant you any rights to our trademarks or brand elements

9. Privacy and Data Protection

  • We collect and process data as described in our Privacy Policy
  • You consent to our data practices by using the service
  • We implement reasonable security measures to protect your data
  • You acknowledge that no system is completely secure

10. Third-Party Services and APIs

10.1 Google Search Console Integration

VerbaLift integrates with Google Search Console to provide content decay analysis. By connecting your Google Search Console account, you:

  • Authorize VerbaLift to access your search performance data (clicks, impressions, position, queries)
  • Acknowledge that this data will be used to identify decaying content and suggest optimizations
  • Understand that you can revoke access at any time through your VerbaLift account settings or Google Account permissions

10.2 WordPress Integration

When you connect your WordPress site, you authorize VerbaLift to:

  • Read your published posts and pages
  • Update content on your behalf when you approve changes
  • Access post metadata for analysis purposes

10.3 Google API Services Compliance

VerbaLift's use of Google APIs complies with the Google API Services User Data Policy, including the Limited Use requirements. We only use Google data to provide our core services, and we do not sell, transfer, or use this data for advertising purposes.

11. Service Availability and Support

11.1 Service Level

  • We strive for 99.9% uptime but do not guarantee uninterrupted service
  • Scheduled maintenance will be announced in advance when possible

11.2 Support

  • Support is provided via email and in-app messaging
  • Response times vary by subscription tier
  • Priority support available for Professional and Enterprise plans

12. Limitation of Liability

12.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

12.2 Liability Limits

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

12.3 Excluded Damages

WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR DATA.

13. Indemnification

You agree to defend, indemnify, and hold us harmless from any claims, damages, or expenses arising from your use of the service, violation of these Terms, violation of third-party rights, or content you create or distribute using our platform.

14. Termination

14.1 Termination by You

  • You may cancel your subscription at any time
  • Access continues until the end of your current billing period
  • Data export must be completed before account closure

14.2 Termination by Us

  • We may terminate your account for violation of these Terms, non-payment, or illegal use
  • At our discretion with 30 days notice

15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

15.2 Arbitration

Any disputes shall be resolved through binding arbitration rather than court proceedings, except for claims that may be brought in small claims court.

16. Changes to Terms

  • We may modify these Terms at any time
  • Material changes will be communicated 30 days in advance
  • Continued use after changes constitutes acceptance
  • Changes will be posted on our website and emailed to users
